Terms and Conditions

Please read these terms carefully before engaging Counara OÜ for research, competitive intelligence, or accessibility auditing services.

1. General Provisions

These Terms and Conditions govern the provision of services by Counara OÜ, a private limited company registered in Estonia (Registration Number: 17314623), hereafter referred to as "Counara," "we," or "us." By commissioning a project, accepting a written scope of work, or utilizing our deliverables, the client agrees to be bound by these terms.

2. Scope of Services

Counara provides independent analytical services delivered as structured written reports. The specific parameters, timelines, and deliverables for each project will be outlined and agreed upon in writing prior to commencement. Our services are categorized into:

• Competitive Intelligence: Competitor teardowns, displacement strategy analysis, and pricing mechanics reporting.

• Strategic Research: Opportunity scans, sector mapping, and cross-border regulatory landscape analysis.

• Web Accessibility Auditing: WCAG 2.1 AA and European Accessibility Act (EAA) compliance testing and remediation roadmaps, specifically focused on European and Scandinavian markets.

3. Communication and Deliverables

Counara operates on an asynchronous, remote model. Project scoping, agreements, and standard communications are conducted primarily via email. While introductory or alignment calls may be scheduled at mutual convenience, they are not a mandatory component of the service delivery. All final deliverables are provided as written documents (PDF, Word, or structured data tables) as specified in the agreed project scope.

4. Pricing and Payment

All engagements are priced on a flat-rate basis. The total fee is established based on the complexity and scope of the requested work and will be confirmed in writing before any research or auditing begins. Counara does not operate on hourly billing or open-ended retainers. Invoices must be paid according to the terms specified in the written agreement. Delivery of the final report is contingent upon adherence to agreed payment schedules.

5. Limitation of Liability and Disclaimers

Counara provides strategic orientation and analytical frameworks based on diligent methodologies. However, clients must acknowledge the following limitations:

• Accessibility Auditing: Audit reports are advisory tools designed to identify barriers and guide remediation. Counara does not guarantee legal compliance. Our reports do not constitute legal certification and do not indemnify the client against EAA, WCAG, ADA, or other accessibility-related enforcement actions, fines, or litigation. Implementation of recommended fixes is entirely the responsibility of the client.

• Competitive Intelligence and Research: Reports are built from named, verified open-source intelligence. They represent strategic analysis at a specific point in time and do not constitute definitive market measurements. Furthermore, Counara does not provide legal, financial, tax, or investment advice. Clients are solely responsible for their strategic, commercial, and investment decisions.

To the maximum extent permitted by applicable law, Counara OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our deliverables.

6. Intellectual Property

Upon full payment of the agreed fee, the client is granted a non-exclusive, perpetual license to use the final written report for internal business purposes. Counara retains all rights, title, and interest in its proprietary methodologies, templates, analytical frameworks, and pre-existing intellectual property used to create the deliverables. The client may not resell or publish the reports publicly without explicit written consent from Counara.

7. Governing Law and Jurisdiction

These Terms and Conditions, and any agreements entered into with Counara OÜ, shall be governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Estonian courts.
